These Terms and Conditions govern the relationship between Thara Counsel and any individual who contacts, engages, or receives services from us. Please read them carefully. By engaging our services or submitting an enquiry through our website, you confirm that you have read and agree to be bound by these terms.

1. Definitions

The following terms have the meanings set out below throughout this agreement:

  • "Agreement" means these Terms and Conditions together with any engagement letter or service proposal confirmed in writing between the parties.
  • "Service" means the pension legal services provided by Thara Counsel as described in Section 3 and in any engagement letter.
  • "Client" or "You" means the individual or entity that engages Thara Counsel or submits an enquiry through our website.
  • "We", "Us", "Our" refers to Thara Counsel, a legal services practice registered in Bangkok, Thailand.
  • "Content" means any documents, correspondence, written summaries, assessments, submissions, or materials produced in the course of delivering the Service.
  • "Fee" means the amount payable for a specific service as set out in the relevant engagement letter or on our website.

2. Acceptance of Terms

By submitting an enquiry through our website, signing an engagement letter, or making a payment toward any of our services, you confirm that:

  • You are at least 18 years of age.
  • You have the legal capacity to enter into a binding agreement.
  • You have read and understood these Terms and Conditions.
  • You agree to be bound by these terms in their entirety.

If you are acting on behalf of another person or an organisation, you confirm that you have the authority to bind that person or organisation to these terms.

3. Service Description

Thara Counsel provides specialist legal assistance in relation to pension entitlements and pension-related matters. Our services are available to individuals and, where appropriate, to organisations engaging on behalf of their members or employees.

The three principal services we offer are as follows:

  • Pension Position Assessment — a structured review of your current pension position, including entitlements, recent changes, and any open questions, delivered as a written summary following one consultation meeting. Typical scope: two weeks.
  • Managed Correspondence and Claims — full management of communications and administrative dealings with pension funds and relevant authorities on your behalf, including claim preparation. Typical scope: one to three months.
  • Full Pension Defence — complete representation in a contested pension matter, including submission preparation, timeline management, and ongoing communication throughout the matter, culminating in a closing report.

Services are delivered primarily in English and are available to clients based in Thailand and internationally. Geographic or jurisdictional limitations that are specific to your matter will be discussed and agreed upon prior to engagement.

4. Client Responsibilities

To enable us to deliver services effectively, you agree to the following:

4.1 Accuracy of Information

You will provide complete, accurate, and up-to-date information relevant to your pension matter. We cannot be responsible for outcomes affected by information that was incomplete, inaccurate, or withheld.

4.2 Timely Cooperation

Where the progress of your matter depends on your input — for example, the provision of documents, signatures, or instructions — you agree to respond within a reasonable time. Delays caused by your unavailability may affect agreed timelines.

4.3 Acceptable Use

You agree not to use our services for any unlawful purpose, including the pursuit of claims that you know or have reason to believe are false or misleading. You agree not to misrepresent your identity, status, or entitlements in any communication with us or with third parties on your behalf.

4.4 Prohibited Conduct

The following are not permitted in connection with your engagement:

  • Providing forged, altered, or falsified documents.
  • Requesting that we act in a manner that would breach applicable law or professional conduct rules.
  • Engaging us for matters that constitute fraud, deception, or abuse of any claims process.

5. Intellectual Property

All written materials, assessments, template documents, and methodologies produced or used by Thara Counsel in the course of delivering services remain the intellectual property of Thara Counsel unless explicitly transferred in writing.

We grant you a limited, non-exclusive, non-transferable licence to use the Content we produce solely in connection with your pension matter. You may not reproduce, distribute, or commercialise such Content for any other purpose without our prior written consent.

Any documents or materials you provide to us remain your property. You grant us a limited licence to use those materials solely for the purpose of delivering the agreed services.

6. Fees and Payment

6.1 Fees

Our fees are stated in Thai Baht (฿) and are set out in the engagement letter or on our website at the time of engagement. The applicable fees as of the date of these terms are:

  • Pension Position Assessment: ฿4,650
  • Managed Correspondence and Claims: ฿10,200
  • Full Pension Defence: ฿16,500

Fees are subject to change. The fee applicable to your engagement is the one confirmed in writing at the time you agree to proceed.

6.2 Payment Terms

Payment terms will be set out in your engagement letter. Unless otherwise agreed, fees are due in advance of work commencing. Accepted payment methods will be confirmed at the time of engagement.

6.3 Refunds

If you decide not to proceed after an engagement letter has been issued but before substantive work has commenced, we will consider a partial refund at our discretion. Once work has commenced, fees are generally non-refundable except where we have failed to deliver the agreed service. Requests for refunds should be made in writing to [email protected].

7. Service-Specific Terms

7.1 Scope and Changes

The scope of each engagement is defined in the engagement letter. If your matter develops in a way that requires work falling outside the agreed scope, we will notify you and agree in writing on any additional steps and associated costs before proceeding.

7.2 Timelines

Timelines described on our website and in engagement letters are indicative. They may be affected by factors outside our control, including the responsiveness of pension funds, regulatory authorities, or third parties involved in your matter. We will keep you informed of any material changes to expected timelines.

7.3 Deliverables

Deliverables for each service are as stated in the service description and the engagement letter. We do not promise specific outcomes. Our obligation is to provide considered, diligent professional work within the scope agreed.

8. Confidentiality

We treat all information you share with us as strictly confidential. We will not disclose your personal or matter-related information to any third party except where:

  • Disclosure is necessary to carry out the services (for example, communicating with a pension fund on your behalf);
  • You have given us written permission to share specific information;
  • We are required to do so by law or by a professional conduct obligation.

We ask that you treat any advice, assessments, or strategies we provide as confidential and not share them with unrelated third parties in a way that could compromise your matter or our practice.

9. Disclaimers

Our services are provided on a professional best-efforts basis. While we bring genuine care and skill to every matter, the following should be understood:

  • Legal and administrative outcomes depend on many factors that are outside our control, including the decisions of pension funds, regulatory bodies, and courts.
  • We do not make assurances about the result of any particular matter.
  • Information on our website is general in nature and does not constitute legal advice. Your specific situation may differ from examples or general descriptions.
  • We are not responsible for changes in law or policy that occur after advice has been provided.

10. Limitation of Liability

To the fullest extent permitted by applicable Thai law, our total liability to you in connection with any engagement shall not exceed the fee actually paid by you for the specific service giving rise to the claim.

We are not liable for:

  • Indirect, consequential, or incidental losses of any kind;
  • Loss of income, business opportunity, or anticipated savings;
  • Losses arising from delays or failures caused by third parties, including pension funds or regulatory authorities;
  • Events outside our reasonable control (force majeure), including natural disasters, government action, or system failures beyond our knowledge.

11. Indemnification

You agree to indemnify and hold harmless Thara Counsel, its principals, advisors, and staff against any claims, losses, damages, or costs (including reasonable legal costs) arising from:

  • Your breach of these Terms and Conditions;
  • False or misleading information you have provided;
  • Any third-party claim arising from your misuse of the Content we have produced.

12. Termination

12.1 By You

You may end your engagement with us at any time by written notice. Any fees paid for work already completed are non-refundable. If work is in progress, we will invoice for the reasonable value of work done to the date of termination.

12.2 By Us

We reserve the right to withdraw from an engagement if: you provide information we believe to be false or misleading; the matter develops in a way that would require us to act contrary to applicable law or professional conduct rules; or there is a material breakdown in the working relationship that cannot be resolved.

12.3 Survival

Clauses relating to confidentiality, intellectual property, limitation of liability, indemnification, and dispute resolution survive the termination of any engagement.

13. Dispute Resolution

13.1 Governing Law

These Terms and Conditions and any engagement agreement are governed by the laws of the Kingdom of Thailand, including the Civil and Commercial Code of Thailand and any applicable professional regulations of the Lawyers Council of Thailand.

13.2 Jurisdiction

Any legal proceedings arising from or relating to these terms shall be brought in the competent courts of Bangkok, Thailand, and both parties submit to the jurisdiction of those courts.

13.3 Informal Resolution

Before initiating any formal legal action, both parties agree to make a good-faith effort to resolve any dispute through direct communication. Please contact us at [email protected] to raise a concern. We will aim to respond within five business days.

14. General Provisions

  • Entire Agreement: These terms, together with any engagement letter, constitute the full agreement between the parties and supersede all prior discussions or representations.
  • Severability: If any provision of these terms is found to be unenforceable, the remaining provisions continue in full force.
  • No Waiver: Failure to enforce any provision of these terms does not constitute a waiver of that provision or any other provision.
  • Assignment: You may not assign your rights or obligations under any engagement to another person without our prior written consent.
  • Notices: Formal notices should be sent by email to [email protected] or by post to our registered address. Notice is deemed received on the next business day following confirmed delivery.

15. Changes to These Terms

We may update these Terms and Conditions from time to time to reflect changes in law, our services, or our operating practices. When we do so, we will update the "Last updated" date at the top of this page and, where changes are material, post a notice on our website.

Continued use of our services or submission of an enquiry after the effective date of any revision constitutes your acceptance of the updated terms. We encourage you to review this page periodically.
